Terms of Service

1. Agreement to Terms

By accessing or using Vanio.ai ("Service"), operated by Divanova Inc. ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Vanio.ai is an AI-native property management platform for vacation rental operators. The Service includes but is not limited to: AI-powered guest communication, reservation management, task management, smart lock integration, payment processing, direct booking websites, automations, knowledge base management, and related tools accessible via web dashboard, API, MCP server, and voice interface.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Subscription and Payments

  • Plans: The Service is offered under subscription plans (Essentials and Professional) with pricing as listed on our pricing page.
  • Billing: Subscriptions are billed monthly or annually. All fees are non-refundable except as required by law.
  • Revenue share: Certain features (upsells, direct booking websites) are subject to a revenue share as described on the pricing page.
  • Payment processing: Payments are processed through Stripe. By using payment features, you also agree to Stripe's terms of service.
  • Changes: We may change pricing with 30 days' notice. Continued use after the change constitutes acceptance.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Interfere with or disrupt the Service, servers, or networks
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service to send spam, unsolicited messages, or harass guests
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell or redistribute the Service without our written consent
  • Use the AI features to generate harmful, misleading, or illegal content

6. AI Features and Automation

  • AI-generated content: The Service uses artificial intelligence to generate responses, perform actions, and automate operations. AI outputs may not always be accurate. You are responsible for reviewing and approving AI actions, particularly financial transactions, guest communications, and operational decisions.
  • Shadow mode: New accounts start in shadow mode where AI suggests actions but does not execute them without approval. You control when to enable autonomous operation.
  • Human oversight: You maintain ultimate responsibility for all actions taken through your account, whether initiated by you or by AI on your behalf.

7. Data and Content

  • Your data: You retain ownership of all data you input into the Service, including property information, guest data, reservation records, and knowledge base content.
  • License: You grant us a limited license to use your data solely to provide and improve the Service.
  • Guest data: You are responsible for ensuring your use of guest data complies with applicable privacy laws (GDPR, CCPA, etc.). We process guest data on your behalf as a data processor.
  • Backups: While we maintain regular backups, you are responsible for maintaining your own copies of critical data.

8. Third-Party Integrations

The Service integrates with third-party platforms including Airbnb, Booking.com, VRBO, Stripe, smart lock providers, and others. We are not responsible for the availability, accuracy, or actions of third-party services. Your use of integrations is subject to those platforms' own terms and policies.

9. API and MCP Access

  • API keys: You are responsible for securing your API keys. Do not share keys publicly or embed them in client-side code.
  • Rate limits: API and MCP access is subject to rate limiting. Excessive use may result in temporary throttling.
  • Actions via API: Any action taken through the API or MCP server is treated as if taken by you. This includes sending messages, processing payments, and modifying reservations.

10. Intellectual Property

The Service, including its design, code, AI models, documentation, and branding, is owned by Divanova Inc. and protected by intellectual property laws. Nothing in these terms grants you rights to our trademarks, logos, or proprietary technology beyond what is needed to use the Service.

11. Limitation of Liability

To the maximum extent permitted by law, Divanova Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Divanova Inc. from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.

13. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable notice for planned downtime.

14. Termination

  • You may cancel your subscription at any time. Access continues until the end of the billing period.
  • We may suspend or terminate your account for violation of these terms, non-payment, or at our discretion with 30 days' notice.
  • Upon termination, you may request an export of your data within 30 days. After that period, we may delete your data.

15. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance.

16. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the United States, unless otherwise required by applicable consumer protection laws.
